1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the AutoVektor platform and services ("Service") operated by AutoVektor Pty Ltd ABN XX XXX XXX XXX ("we", "us", or "our"), a company registered in Australia.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

AutoVektor provides a comprehensive workshop management platform for automotive businesses, including:

• Customer relationship management
• Quote generation and management
• Job tracking and scheduling
• Financial integration with accounting software
• AI-powered automation features
• Third-party integrations (Podium, Xero)

3. Account Registration

To use our Service, you must:

• Be at least 18 years old
• Be a registered business entity in Australia
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Billing

• Subscription fees are billed monthly or annually in advance
• All prices are in Australian Dollars (AUD) and include GST
• Payment is due upon receipt of invoice
• Late payments may result in service suspension

Refunds

We offer a 30-day money-back guarantee for new subscriptions. After this period, refunds are provided on a pro-rata basis for annual subscriptions only, subject to our discretion.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Sublicense, sell, or rent the Service to third parties
• Use the Service to send spam or unsolicited communications

6. Intellectual Property

The Service and its original content, features, and functionality are owned by AutoVektor Pty Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all data you input into the Service. You grant us a limited license to use this data solely for providing the Service to you.

7. Data Protection

We are committed to protecting your data. Our use of your information is governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

You are responsible for maintaining backups of your critical business data. While we implement robust backup procedures, we recommend maintaining independent backups.

8. Third-Party Services

Our Service integrates with third-party services (such as Podium and Xero). Your use of these integrations is subject to the terms and conditions of those third parties. We are not responsible for the availability, functionality, or security of third-party services.

9. Service Level Agreement

We strive to provide:

• 99.9% uptime availability
• Regular security updates and patches
• Customer support during business hours (9 AM - 5 PM AEST)
• Data backup every 24 hours

Scheduled maintenance will be notified in advance and performed during off-peak hours when possible.

10. Limitation of Liability

To the maximum extent permitted by Australian law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the preceding 12 months
• We are not responsible for any loss of data, revenue, or profits

Nothing in these Terms excludes or limits our liability for death or personal injury, fraud, or any liability that cannot be excluded under Australian Consumer Law.

11. Indemnification

You agree to indemnify and hold harmless AutoVektor, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement:

• With 30 days written notice
• Immediately for material breach of these Terms
• Immediately if the other party becomes insolvent

Upon termination, you will have 30 days to export your data. After this period, we may delete your data from our systems.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiations between the parties
2. If unresolved after 30 days, mediation under the Australian Commercial Disputes Centre
3. If still unresolved, binding arbitration under Australian law

These Terms are governed by the laws of New South Wales, Australia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund.
